14. Governing law and jurisdiction

These Terms — and any non-contractual obligations arising out of or in connection with them — are governed by and construed in accordance with the substantive laws of Switzerland, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods.

The exclusive forum for any dispute arising out of or in connection with these Terms or the Site is the ordinary courts of the Canton of Zug, Switzerland, subject only to mandatory consumer-protection forum rules that may apply at your place of habitual residence.

15. Severability and entire agreement

If any provision of these Terms is held invalid, illegal or unenforceable by a competent court, the remaining provisions shall remain in full force and effect, and the invalid provision shall be replaced by an enforceable provision that most closely reflects the original economic intent. These Terms, together with our Privacy Statement, constitute the entire agreement between you and 265 Capital regarding the Site and supersede any prior understanding or arrangement.
